License Terms
License terms of NexGen IT-Security GmbH for the purchase of software licences, in particular AI Prompt Shield. Last updated: October 2026
1. Scope and order of precedence
These License Terms govern the purchase of licences for software of NexGen IT-Security GmbH (“NexGen”), in particular AI Prompt Shield, including online ordering, payment, delivery, updates and support. Use of the software itself is governed by the AI Prompt Shield EULA. NexGen’s Terms & Conditions apply additionally. In case of conflict the following order applies: individual written agreement, these License Terms, the EULA, the Terms & Conditions.
Licences are granted exclusively to businesses within the meaning of § 1 KSchG. By placing an order, the customer confirms that it is acting as a business.
2. Editions
- Evaluation: free, non-transferable licence for 30 days exclusively for testing; not for productive use. There is no entitlement to support or extension.
- Licence: paid licence for productive use within the customer’s organisation for the term stated in the order (twelve months by default).
- Enterprise: individually agreed licensing models; the terms of the respective offer apply.
3. Conclusion of contract for online orders
The presentation of editions on the website is not a binding offer. By submitting the order form – for paid licences by completing payment with Stripe – the customer makes a binding offer. The contract is concluded once NexGen issues the licence and sends the licence key and download link to the customer. The customer can correct input errors in the form or on Stripe’s payment page before submitting. NexGen stores the contract text; the version of these terms valid at the time of the order is recorded with the order. Contract languages are German and English.
4. Prices and payment
The prices displayed during ordering apply. All prices are net plus statutory VAT. For customers established in another EU member state who provide a valid VAT number, invoices are issued without Austrian VAT (reverse charge).
Payment is made in advance via the payment provider Stripe using the payment methods offered there. The invoice is sent electronically. For individually agreed licences, payment is due within 14 days of the invoice date.
5. Delivery
The software is delivered exclusively electronically. After payment confirmation, the customer receives a personal download link as well as the licence ID and licence key at the e-mail address provided. For security reasons, the download link is limited in time (72 hours by default) and in the number of downloads (five by default); during the licence term, NexGen issues a new link free of charge on request. The customer verifies the integrity of the file using the SHA-256 checksum provided.
6. Term and renewal
The licence begins when it is issued and ends upon expiry of the agreed term without notice. There is no automatic renewal unless the customer has expressly concluded a subscription; in that case it renews for the chosen term unless cancelled before expiry. After the licence expires, use of the software is no longer permitted.
7. Updates and support
During the licence term, NexGen provides security updates and bug fixes for the current major version. Support is provided by e-mail on business days (Monday to Friday, excluding Austrian public holidays) between 9 am and 5 pm CET. Extended service levels require a separate agreement.
8. Warranty
NexGen warrants that, when used as intended, the software substantially conforms to the product description valid at the time of delivery. The warranty period is six months from delivery. Defects must be reported in writing and in a reproducible manner without undue delay. NexGen remedies defects at its discretion by repair, an update or a workaround. If remedy fails, the customer may demand an appropriate price reduction or – for material defects – terminate the contract.
AI Prompt Shield detects content based on configured policies and detection methods. Complete detection of all sensitive content cannot be guaranteed according to the state of the art and is not owed. Warranty is excluded for evaluation licences.
9. Liability
Liability is governed by the Terms & Conditions, provided that liability is limited in amount to the fees paid for the affected licence in the last twelve months. For evaluation licences, NexGen is liable only for intent and gross negligence and for personal injury.
10. Refund on termination
If the customer terminates the contract due to a material defect, NexGen refunds the fee paid pro rata for the remaining licence term. Otherwise, returns or refunds are excluded once the licence has been issued.
11. Final provisions
Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is the court having subject-matter jurisdiction for 5600 St. Johann im Pongau. NexGen may amend these License Terms for future orders and renewals; existing licences are governed by the version accepted at the time of the order.
This English version is provided for convenience. In case of discrepancies, the German version prevails.
